Acconeer publishes prospectus in connection with forthcoming rights issue

The board of directors of Acconeer AB ("Acconeer" or the "Company") has prepared a prospectus (the "Prospectus") relating to the issue of shares of approximately SEK 140 million (the "Rights Issue"), which was resolved by the board of directors on 22 November 2021, based on the authorization from the annual general meeting on 27 April 2021. The Prospectus has today been approved and registered by the Swedish Financial Supervisory Authority.

Summary

  • One (1) existing share in the Company entitles to one (1) subscription right. Ten (10) subscription rights entitle to subscription of one (1) new share, i.e., a subscription ratio of 1:10.
  • The subscription price is SEK 60 per new share, which, provided that the Rights Issue is fully subscribed, results in the Company receiving issue proceeds of approximately SEK 140 million before deduction of transaction costs.
  • The subscription period runs from 1 December 2021 until 15 December 2021.
  • Major shareholders, board members and senior executives in the Company have expressed their support for the Rights Issue by entering into subscription commitments amounting to approximately SEK 29 million, corresponding to approximately 21 percent of the Rights Issue. Furthermore, the Company has entered into agreements on issue guarantees of approximately SEK 90 million, corresponding to approximately 64 percent of the Rights Issue, which means that the Rights Issue is secured to approximately 85 percent.

Prospectus

The Prospectus has been prepared in connection with the forthcoming Rights Issue and has today, on 29 November 2021, been approved and registered by the Swedish Financial Supervisory Authority. Regulatory

In the second quarter 2022, Acconeers net sales amounted to 10,779 kSEK, and the product revenue increased by 120% compared to the same quarter last year. A record number of sensors were sold, 167,654 and 21,294 modules were sold. In total, Acconeer has sold 1,023,177 radar sensors and 79,636 modules since launch. In the quarter 224 evaluation kits were sold, and an accumulated 5,263 EVKs have been sold since launch. The gross margin in Q2 was 62% and as much as 12 new customer products were launched. At the end of the quarter, an evaluation kit (EVK) for Acconeers second radar sensor, A121, was shipped to distributors for sale.

Acconeer ABs share capital and number of shares have increased due to the exercise of warrants in series TO2 (2019/2022). As a result, the company is increasing its cash by SEK 17 million.

Regulatory

The order relates to Acconeer's A111 radar sensor for customers' mass production, the evaluation kit (EVK) XE121 and related products, as well as the coming modules XM124 and XM123 including EVKs for these. BEYD is Acconeer's Chinese distributor and remains an important sales channel for the company.

As previously announced, Acconeer introduces a new high-performance radar sensor, A121, and today the evaluation kit (EVK) for the product has been shipped to distributors and will soon be available for customers to buy. The A121 radar sensor is planned to be ready for mass production in the first quarter of 2023.

Digi-Keys global online platform, serving customers with evaluation kits and sensors intended for mass production, remains an important distribution channel for Acconeer.

Acconeer AB (publ) (Nasdaq First North Growth Market: ACCON) ("Acconeer" or the "Company") today announced that a group of employees of the Company, among others, four members of the Company's management team, have purchased shares through the exercise of Acconeers warrant program 2019/2022. To partially finance the subscription of shares, a group of participants in the warrant program has sold a total of 183,594 shares in the Company.

The modules are variants of the company's popular Entry Modules for which there has been a shortage of ARM Cortex M0 microcontroller units (MCUs). The new modules, called XM124 and XM123, will feature the A111 pulsed coherent radar sensor together with a more powerful ARM Cortex M4 MCU while still being sold at an attractive entry-line price point.
